SMS Program Terms and Conditions.

These SMS Program Terms and Conditions (these "SMS Terms") govern the SmartPackingUSA text messaging programme operated by Yildiz Prime Inc., a Florida corporation trading as SmartPackingUSA ("SmartPackingUSA", "we", "us" or "our").

By opting in to receive text messages from us you agree to these SMS Terms. These SMS Terms form part of our Terms of Service and are to be read together with our Privacy Policy.

Consent to receive text messages is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to cancel. Reply HELP for help.

1. Programme Description.

1.1 The SmartPackingUSA text messaging programme is a business to business messaging programme operated as part of our sales and customer support activity.

1.2 Conversational and transactional messages relate to your enquiries and orders and may include: responses from your sales representative; quotations and quotation follow up; order confirmations and deposit and payment reminders; artwork and specification approval requests; production and dispatch updates; delivery and freight appointment coordination; technical support and warranty case updates; and replacement part shipment notices.

1.3 Marketing and promotional messages, sent only where you have given the consent described in Section 3, may include new product and machine announcements, container and film availability, promotions, trade show information and dealer programme information.

1.4 Messages are sent by our team using our customer relationship management and messaging platform, from the telephone numbers we register for the programme.

1.5 Message frequency varies by programme and by the stage of your enquiry or order. Conversational and transactional messages are sent as needed. Marketing messages are expected to be no more than 4 messages per month, although this may vary.


 

2. Eligibility.

2.1 You must be at least 18 years of age and must be the account holder of, or an authorised user of, the mobile telephone number you provide.

2.2 The programme is available on mobile numbers issued by United States carriers. We do not send programme messages to numbers outside the United States.

2.3 Where you provide a mobile number belonging to your business, a colleague or an employee, you confirm that you are authorised to provide that number for the purposes of this programme and that the individual concerned has agreed to receive messages from us.

2.4 If a number ceases to be yours or ceases to be used by the person who consented, you must tell us promptly so that we can remove it.


 

3. Consent.

3.1 We send text messages only to mobile numbers for which we hold the consent required by applicable law, including the Telephone Consumer Protection Act and the rules made under it by the Federal Communications Commission, and the Florida Telephone Solicitation Act where it applies.

3.2 Consent may be given by: ticking the separate, unticked consent box on a form on https://www.smartpackingusa.com, including the checkout, contact, quote request and dealer application forms; texting a keyword we publish to our programme number; confirming to a member of our team, on a recorded or documented basis, that you agree to receive text messages at a number you provide; or completing a written or electronic consent form we provide.

3.3 Consent to receive marketing text messages is given separately from any purchase or enquiry, is not bundled with acceptance of any other agreement, and is not a condition of purchasing any goods or services from us.

3.4 Providing your mobile number for a specific transactional purpose does not by itself constitute consent to receive marketing messages. Marketing messages are sent only where the applicable consent has been given.

3.5 We keep a record of each consent, including the date and time, the wording displayed or read to you, the web page or channel through which it was given, and the identity of the person who gave it. We keep that record for as long as we message the number and for a reasonable period afterwards.

3.6 We do not purchase, rent or accept mobile numbers or messaging consents obtained by a third party, and we do not share consent given to us with any third party for its own marketing.


 

4. How to Opt Out.

4.1 You may cancel at any time by replying STOP to any message from the programme. We also honour the replies END, QUIT, CANCEL, UNSUBSCRIBE and STOPALL, and any other reasonable indication that you no longer wish to receive messages.

4.2 After you send STOP we will send one final message confirming that you have been unsubscribed, and will send no further programme messages to that number.

4.3 You may also opt out by emailing info@smartpackingusa.com or telephoning (239) 227-5399, or by telling any member of our team.

4.4 Opting out of marketing messages does not prevent us from contacting you by other means, and does not by itself stop transactional messages that are necessary to perform a contract you have with us, such as a delivery appointment message. If you wish to stop all text messages, please tell us and we will remove your number entirely.

4.5 If you opt out and later wish to receive messages again, you will need to opt in again.

4.6 We maintain an internal do not message list of opted out numbers so that they are not messaged again through the programme.


 

5. How to Get Help.

5.1 Reply HELP to any message from the programme for assistance and programme information.

5.3 For questions about your mobile plan, message charges or coverage, contact your mobile carrier.


 

6. Cost and Carrier Charges.

6.1 We do not charge for messages sent through the programme.

6.2 Message and data rates may apply. The number of messages you receive may affect the amount billed by your carrier, depending on your plan. Please consult your carrier for details.

6.3 Carriers are not liable for delayed or undelivered messages.

6.4 The programme is supported by major United States carriers, and support may vary by carrier and may change without notice. Delivery is subject to carrier and network conditions and to carrier filtering, and we cannot guarantee that any message will be delivered.


7. Sending Times and Message Content.

7.1 Marketing messages are sent between 8:00 a.m. and 8:00 p.m. in the recipient's local time, and are not sent on days on which sending is restricted by applicable law. Transactional messages relating to an active order, delivery or support case may be sent outside those hours where reasonably necessary and where permitted.

7.2 Each marketing message identifies SmartPackingUSA as the sender.

7.3 We do not send messages containing content prohibited by carrier or industry messaging requirements.

7.4 Message content is limited to the categories described in Section 1. If you receive a message from us that you believe is not covered by these SMS Terms, please tell us.


 

8. Privacy.

8.1 Our Privacy Policy, available at https://www.smartpackingusa.com, explains how we collect, use, disclose and retain personal information, including mobile numbers, message content and consent records.

8.2 Mobile numbers and messaging consent information are not sold and are not shared with third parties for their own marketing purposes. They are disclosed only to the messaging and customer relationship platforms, and to the carriers and connectivity providers, needed to deliver the messages, and to our professional advisers and authorities where required by law.

8.3 Do not send us sensitive information by text message. Text messaging is not a secure channel.

8.4 Message content and message metadata are recorded in our customer relationship management system as part of the record of our dealings with you.


 

9. Your Responsibilities.

9.1 Provide an accurate mobile number and keep it up to date, and tell us if your number changes or is reassigned.

9.2 Do not provide a number that you are not authorised to provide.

9.3 Do not use the programme to send us unlawful, abusive, threatening or fraudulent content, and do not attempt to interfere with the operation of the programme.

9.4 We may remove any number from the programme at our discretion, including where we believe consent is absent, has been withdrawn, or relates to a number that has been reassigned.


 

10. Disclaimer and Limitation of Liability.

10.1 The programme is provided on an as is basis. We do not warrant that messages will be delivered, will be delivered without delay, or will be free from error, and we are not responsible for carrier filtering, network failure, device configuration or the acts of any carrier or messaging provider.

10.2 To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages arising out of or in connection with the programme, including any loss arising from a message that is delayed, undelivered or received by a person other than the intended recipient.

10.3 Information sent by text message is provided for convenience. Quotations, order confirmations, specifications, approvals and warranty determinations are effective only as recorded in our written order documents, and a text message does not vary any contract between us.

10.4 Nothing in this Section limits any liability that cannot lawfully be excluded or limited.


 

11. Changes, Suspension and Termination.

11.1 We may amend these SMS Terms at any time by publishing a revised version at https://www.smartpackingusa.com with a new Effective Date. Continued participation after the revised version is published constitutes acceptance of it.

11.2 We may modify, suspend or terminate the programme, or any part of it, at any time and without liability, and may remove any participant at any time.

11.3 Where a change materially affects the nature or frequency of the messages you receive, we will tell you and, where required by applicable law, obtain fresh consent before applying the change.


 

12. Governing Law, Dispute Resolution and Contact.

12.1 These SMS Terms are governed by the laws of the State of Florida and are subject to the dispute resolution provisions of our Terms of Service, including the agreement to arbitrate on an individual basis and the waiver of jury trial and class proceedings.

12.2 If any provision of these SMS Terms is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder continues in effect.
